These terms govern your use of the Segment360 website. They are not the contract for our paid work. If you engage us for a Diagnostic, a build, or to operate agentic AI inside your own cloud, that engagement is governed by a separate master services agreement (MSA) and the statement of work (SOW) we sign with you, not by this page. In plain terms: read this if you are browsing the Site, read the MSA and SOW if you are buying. Where this page and a signed MSA or SOW address the same subject, the signed documents control.
1. Acceptance of these terms
By accessing or using segment360.com and any related pages, content, forms, or features (the "Site"), you agree to these Terms of Service (the "Terms") and to our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, please do not use the Site. We may update these Terms as described in Section 12, and your continued use of the Site after an update means you accept it.
If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization. These Terms, together with any notices or policies we post on the Site, are the entire agreement between you and Segment360 regarding the Site and supersede any prior understandings about the Site.
2. Eligibility
You must be able to form a legally binding contract to use the Site, and you must use it only for lawful business purposes. The Site is intended for a business-to-business audience. It is not directed to children, and we do not knowingly collect information from children through the Site. You are responsible for complying with all laws, regulations, and third-party rights that apply to your access and use, including export, sanctions, and data-protection laws applicable to you.
3. Our services
Segment360, LLC is a business-to-business company headquartered in San Ramon, California, USA. We design, build, and operate agentic AI systems that run inside our clients' own cloud environments on Google Cloud, AWS, or Azure. Client, operational, and end-user data processed by those agents stays in the client's own cloud. We do not copy that data out to Segment360 systems, we do not store it on our systems, and we do not sell or share it. We access it only under least-privilege roles that the client grants and can revoke, inside the client environment. For clients in healthcare, we will sign a business associate agreement (BAA) where one is required.
The Site itself is informational. It describes who we are and what we do, including our 5-day Diagnostic and our build-and-operate work. Nothing on the Site is an offer to perform services, a guarantee of any specific outcome, or a contract for work. Any paid engagement, including its scope, fees, deliverables, data handling, security commitments, warranties, and remedies, is defined exclusively by a signed MSA and SOW. This page does not modify, expand, or limit those documents.
4. License to use the Site and acceptable use
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and view the Site for your own informational and business-evaluation purposes. This license does not transfer any ownership and does not permit commercial reuse, redistribution, or derivative use of the Site or its content without our prior written consent.
You agree that you will not, and will not permit anyone acting on your behalf to:
- Scrape, crawl, harvest, or otherwise extract content or data from the Site by automated means, or use the Site to train any machine-learning or AI model, without our prior written consent.
- Probe, scan, or test the vulnerability of the Site, or attempt to defeat any authentication, rate-limiting, access control, or security measure.
- Disrupt or overload the Site or its infrastructure, including through denial-of-service activity, excessive automated requests, or interference with other users.
- Introduce malware or any harmful code, attempt to gain unauthorized access to any system or account, or use the Site to transmit unlawful, infringing, deceptive, or harmful material.
- Copy, frame, mirror, or republish substantial portions of the Site, or use it to build, train, or benchmark a competing product, service, or dataset.
- Remove, obscure, or alter any proprietary notices, or misrepresent your identity or your affiliation with Segment360.
We may investigate suspected violations and may suspend, restrict, or terminate access to the Site, in whole or in part, at any time and without notice, if we reasonably believe these Terms are being violated or to protect the Site, our users, or our rights. We may also report conduct we believe is unlawful to the appropriate authorities.
5. Intellectual property
The Site and its content, including text, graphics, layout, design, user interfaces, logos, copy, diagrams, and the "Segment360" and "Sounding Line" names and marks, are owned by Segment360 or our licensors and are protected by copyright, trademark, and other intellectual property laws. We reserve all rights not expressly granted in these Terms.
The license in Section 4 does not grant you any right to our trademarks, logos, trade dress, or brand features, which may not be used without our prior written consent. Any rights in software, agents, models, configurations, documentation, or other deliverables created under an engagement are governed by the applicable MSA and SOW, not by this section. If you send us feedback or suggestions about the Site, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or obligation to you.
6. Third-party links and marks
The Site may reference or link to third-party websites, tools, resources, partners, or cloud providers that we do not own or control, and may display third-party names, logos, or trademarks that belong to their respective owners. We provide these references and links for convenience and identification only.
We do not endorse and are not responsible for the content, accuracy, availability, security, or practices of any third party. Your dealings with any third party, and your use of any third-party site or service, are solely between you and that third party and are subject to their own terms and policies. Use of third-party names or marks does not imply any affiliation, sponsorship, or endorsement.
7. No professional advice; informational only
Content on the Site is provided for general information. It is not legal, regulatory, compliance, financial, security, medical, or other professional advice, and it does not create any advisory, fiduciary, or confidential relationship between you and Segment360. Do not rely on the Site as a substitute for professional judgment or for the specific terms of a signed engagement. Decisions about your systems, data, security, and compliance remain yours.
8. Disclaimer of warranties
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Segment360 and its suppliers and licensors disclaim all warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that any information on the Site is complete, accurate, or current. Any material obtained through the Site is accessed at your own discretion and risk. We may change, suspend, or discontinue any part of the Site at any time without notice. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
9. Limitation of liability
To the fullest extent permitted by law, Segment360 and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of, or inability to use, the Site, whether based in contract, tort, strict liability, or any other theory, and even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars (US$100). This section governs liability relating to the Site only. Liability arising from a paid engagement is governed solely by the limitation, indemnity, and remedy provisions of the applicable MSA and SOW. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. These limitations are an essential basis of the bargain between you and Segment360.
10. Indemnification
You agree to defend, indemnify, and hold harmless Segment360 and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your misuse of the Site, your violation of these Terms, your violation of any law, or your violation of the rights of any third party in connection with your use of the Site. We may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.
11. Governing law and venue
These Terms, and any dispute arising out of or relating to these Terms or the Site, are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. You agree that the exclusive venue for any such dispute will be the state and federal courts located in or serving Contra Costa County, California, and you consent to the personal jurisdiction of those courts. You and Segment360 each waive any objection to that venue, including on grounds of inconvenient forum.
12. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above, and changes take effect when posted. If a change is material, we will use reasonable efforts to provide additional notice on the Site. Your continued use of the Site after changes are posted means you accept the updated Terms. If you do not agree to a change, please stop using the Site.
13. Miscellaneous
If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will stay in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent, and any attempt to do so is void; we may assign these Terms freely. The disclaimers, limitations of liability, indemnification, intellectual property, and governing-law provisions survive any termination of your access to the Site.
